Oasis and Warehouse to close permanently, with loss of 1,800 jobs | Retail industry

Oasis and Warehouse are to permanently close all their stores and online shopping with the loss of more than 1,800 jobs after administrators said they had been unable to secure a rescue deal for the fashion chains.

The two brands have been sold to the restructuring firm Hilco, the owner of the Homebase DIY chain, in a deal which includes their stock but not their 92 standalone stores or about 400 concessions across outlets including Debenhams, House of Fraser and Sainsbury’s.

Rob Harding, joint administrator at Deloitte, said: “Covid-19 has presented extraordinary challenges, which have devastated the retail industry. It is with great sadness that we have to announce a sale of the business has not been possible and that we are announcing so many redundancies today.

“This is a very difficult time for the group’s employees and other key stakeholders and we will do everything we can to support them through this.”

Oasis and Warehouse called in administrators earlier this month and made 200 head office staff redundant without any payoff.

The 1,800 people now being made redundant have been on furlough under the government’s job retention scheme and the administrators said payment to those staff would not be made until funds had been received from the government. A further 42 head office staff remain in post under the administrators but their jobs remain at risk.

The collapse of the fashion chains is yet another blow for high streets and shopping centres, after a wave of closures in the past two years amid a tough consumer market and rising costs.

The temporary enforced closure of clothing chains and other retail outlets deemed “non-essential” under government efforts to prevent the spread of the coronavirus has only added to difficulties.

In the past few months, Debenhams has fallen into administration for the second time in a year while vintage-inspired chains Laura Ashley and Cath Kidston have also called in administrators.

Other retailers including the footwear specialist Office, whose South African owner Truworths is urgently seeking a buyer, are also under pressure.

Oasis & Warehouse: What went wrong?

Oasis was founded in 1991.

A BRIEF TIMELINE

1976: Warehouse was founded as the Warehouse Utility Clothing Company with the first store opening on London’s Duke Street.

1979: The retailer opened its second store on London’s Argyll Street, simultaneously announcing a change of name to Warehouse.

1985: Warehouse launched its first catalogue.

1991: Oasis was founded.

1995: Oasis was floated on the London Stock Exchange.

1998: Oasis purchased the Coast stores.

1999: Warehouse opened its first international store in Singapore.

2001: Oasis’ management team acquired Warehouse via Sierra Acquisitions Ltd, supported by PPM Ventures. Warehouse launched its website.

2003: Oasis, Warehouse and Coast acquired from PPM Ventures by a secondary management buyout, supported by Baugur Group and an investor group led by Kaupthing Bank.

That same year, fashion company Mosaic Fashions was established as the takeover vehicle when it acquired the Karen Millen and Whistles brands.

Warehouse first opened as the Warehouse Utility Clothing Company in 1976


2009: Mosaic Fashions entered administration in March. Most of the businesses were immediately sold on to Aurora Fashions, a new company jointly owned by Icelandic bank Kaupthing – a major Mosaic creditor and Mosaic’s former management.

The deal saw Aurora take on the majority of Mosaic’s ongoing retail stores including Coast, Warehouse and Oasis. Principles was not included in this deal, and was subsequently purchased separately by Debenhams.

Meg Lustman was appointed to the newly-created role of managing director of Warehouse.

2010: Margaret Macdonald, previously chief executive of LK Bennett, became managing director of Coast, and Liz Evans was appointed managing director of Oasis.

2011: Karen Millen separated from Oasis, Warehouse and Coast as a new company owned by Kaupthing Bank – the same parent company as Aurora Group.

2013: Aurora announced further plans in March for a wider restructuring. As part of this, Coast was separated from the rest of the group, under the ownership of Kaupthing, and it was planned that Oasis and Warehouse would be merged under a new single parent company, Fresh Channel. The two brands were eventually merged as the Oasis & Warehouse Group.

Liz Evans was promoted to group chief executive.

2016: The administrator for Aurora Fashions, Kaupthing Bank, placed the retailers up for sale for £100 million.

2017: In September, reports emerged that a UK-based Indian entrepreneur wanted by Interpol was working on a £60 million acquisition deal of Coast, Oasis and Warehouse. Emerisque Brands — the private equity form owned by Ajay Khaitan — had talks to buy the trio of retailers from Kaupthing. By October, a sale process for Aurora Group was abandoned.

2018: Liz Evans departed after eight years at Oasis & Warehouse to join rival FatFace. Chief operating officer Hash Ladha was promoted to chief executive.

That same year, Aurora placed Coast into administration, which was eventually acquired by Karen Millen. Both Aurora and Karen Millen are owned by Kaupthing, so Coast essentially remained in the family. While 600 jobs were saved, 300 were cut as the deal saw store closures, but kept the concessions, wholesale and online operations.

2019: Oasis and Warehouse acquired online menswear retailer The Idle Man for an undisclosed sum.  In September, Oasis & Warehouse recorded a rise in sales and profits despite a “difficult” trading environment.

In the 53 weeks to March 2 2019, the Oasis & Warehouse saw EBITDA increase by 20 per cent to £11.5 million thanks to the opening of five new “local” stores in Dorchester, Haslemere, Ilkley, Ringwood and Tenterden.

Total sales at the group were up 6.5 per cent, compared with £293.2 million in 2017/18, while online sales for the period were up 17 per cent, and now represent 30 per cent of the total.

Like-for-like sales were up 0.2 per cent, and total turnover was down two per cent, which was blamed on the planned closure of 11 unprofitable stores.

In April 2019, Aurora Fashions said House of Fraser’s administration had a £5 million impact on Oasis & Warehouse’s earnings, partly blaming it for a £10 million increase in pre-tax loss to £39.9 million.

The following August, although not part of Aurora Group but still owned by Kaupthing, Karen Millen and Coast were sold to Boohoo Group in a pre-pack administration. All Karen Millen and Coast stores and concessions eventually shut down, as Boohoo only acquired its IP and online business.

Meanwhile in October, Oasis began stocking third-party brands on its website for the first time as it launched brands from The Little Mistress Group.

2020: In March, Kaupthing drafted in advisers from Deloitte to explore a sale of the Oasis and Warehouse Group as the coronavirus crisis prompted the government to extend the lockdown.

On April 14, Oasis and Warehouse revealed it was preparing to slide into administration, putting 2300 jobs at risk. The following day, the group filed for administration, leading to 202 jobs being immediately made redundant while a further 1800 are at risk as they remain on furlough.

Oasis, Warehouse and The Idle Man would continue to trade online in the short-term while administrators assess options.

Oasis and Warehouse currently trades from 92 shops in the UK, plus 437 concessions located in third party retailers such as department stores.


THE REASONS

Oasis & Warehouse became one of the latest retailers to file for administration last week and many experts have told Retail Gazette that while the Covid-19 crisis is not primarily to blame for its demise, the pandemic was most likely the last straw for the already-struggling group.

Deloitte joint administrator Rob Harding said: “Covid-19 has had a devastating effect on the entire retail industry and not least the Oasis Warehouse group.”

Oasis & Warehouse chief executive Hash Ladha admitted that the “shocking and difficult news” of the administration could not have been predicted a month ago.

Arguably, the coronavirus pandemic pushed the company over the edge. According to files posted in Companies House, there was no major loss recorded in the run-up to its administration. In fact, Oasis & Warehouse posted a 20 per cent increase in its EBITDA to £11.5 million in the 53 weeks to March 2, 2019.

“Cashflow is like oxygen and if you starve it of that, it doesn’t take long for it to go into administration,” Retail Reflections founder Andrew Busby told Retail Gazette.

However, insolvency partner at law firm Shakespeare Martineau, Sean Moran, argued that Oasis & Warehouse were both struggling, and a combination of reduced footfall on the high street, high rents in some unprofitable stores and difficulties in securing access to credit lines caused the firm to collapse.

Last year, Oasis & Warehouse was faced with difficulties as certain key credit insurers stopped offering credit to their suppliers, and a number of non-profitable stores were closed to protect profits.

While these are signs of a struggling retailer, there were many retailers in the same situation but with a different focus which allowed them to make changes to their operating models in a profitable way.

Coronavirus has struck at the worst time for many retailers whose cashflow may already have been running at close to negative. Arguably, Oasis & Warehouse was also affected due to the fact it did not harness technology as effectively as its rivals.

Rick Smith, managing director at business consultancy Forbes Burton, said Oasis failed to diversify its online offering, which was why “it struggled to maintain any sort of solid grip on its customer base”.

Rene Stampfl, vice president at retail tech firm Meepl, agreed with Smith: “Covid-19 is hitting those retailers the hardest that did not invest in expanding their online sales channels.

“The retail landscape is changing. Ecommerce will continue to gain more market share with new technologies like mass customisation and virtual dressing rooms further creating better online shopping experiences.

“Oasis failed to diversify its online offering”

“Bricks-and-mortar stores come with a high fixed cost like rent, cleaning and employee salaries. Online shops demand no rent at multiple prime locations and have fewer salaries to pay.

“With the government shutting down non-essential stores, to which retail stores belong, revenues from bricks & mortar stores remain completely off. Paired with high fixed costs, this is a toxic mix.

“Without a strong digital presence, bricks & mortar stores cannot switch their business to the online world and be competitive.”

Oasis & Warehouse’s problems appear to have started prior to the outbreak. When Ladha said last week that Covid-19 had a “devastating effect” on the business, he may have implied that the company was forced into administration because the pandemic.

Undoubtedly, Oasis & Warehouse operates in a competitive market where customers loyalties are becoming harder to maintain. There has also been tough competition from online brands entering the market without the overhead of stores and fast-moving product development capabilities.

The longer the lockdown holds up, the likelier more retailers who make most of their revenues through traditional sales will suffer from the situation. But there is still hope. Oasis & Warehouse may still have a future on the UK’s high street’s if it manages to find a buyer in the administration process. This buyer should also look at ways to expand its digital channels and adapt innovative bricks-and-mortar concepts.

The founders of the Astana International Financial Center (AIFC) carefully studied the experience of Singapore, as well as Dubai, which built a financial center in about three years and then quickly made it truly international.The AIFC will fill an empty niche in Central Eurasia, its manager Kairat Kelimbetov is sure. It will be able to become a link between the countries of Asia, the Middle East, the post-Soviet space and Europe. At the same time, according to him, the AIFC will not remain an oasis in the desert and will contribute to reforming the judicial system and the economy of Kazakhstan (including large-scale privatization and a radical reduction in the state’s share in the economy).

– What makes the AIFC unique?

– It seems to me that this is a system of legal and regulatory regime in the financial sector. For the first time in the post-Soviet space, a special regime has been created based on the principles of general, or precedent, law, which has incorporated the best practice of world financial centers.For this last year, amendments to the constitution were adopted, and over the past three years the entire system of legislation has been prepared. In fact, this is a new word in the development of international financial hubs.

Dubai to help

– There are many MFCs in the world. Did you take an example from any particular one?

– We were interested in the practice of financial centers operating within the framework of English law, but not in the countries where it originated, but where it began to be applied recently.These are Hong Kong in the last 50–70 years, Singapore in the last 40–50 and the countries of the Middle East – such centers as Dubai in the last 20 years, Abu Dhabi in the last five. This was the most interesting for us, since there was no 200 years of institutional experience; these countries took Western models and created everything literally from scratch. We studied the Dubai experience in detail and used it.

– What was most important there? Exactly how Dubai adopted English law?

– Everything happened in Dubai before our very eyes.It was the success of the changes in regulation that made it possible to move the process for which there were no objective prerequisites – neither geographical nor institutional. Moreover, in a country whose own legislation is far from English common law, where Sharia laws are in general. Nevertheless, it was possible to create a legal enclave that would contribute to the development of the agglomeration and the creation of a new smart city that is globally competitive both in attracting investment and in terms of comfortable living conditions for investors, expats and local residents.They started preparing somewhere in 2001-2002, in 2004 they were officially launched. Around 2004-2006. we in the post-Soviet space tried to do something like that in Alma-Ata and in Moscow; We have some positive experience with this, but, probably, there is also a negative experience of what was not done or was not done quite the way it should be. Negative experience is also useful, I believe, in any business.

– I just wanted to ask: did you take into account the experience of building the MFC in Moscow, including the negative one?

– It’s probably easier for me to criticize something that we didn’t do at home.If we compare what was not done in Alma-Ata and what was done in Astana, then, firstly, a political decision was made. It is very important. In Astana, it was clear that it was necessary to create its own jurisdiction, its own special court. And in Alma-Ata, the court was not the highest in the hierarchy of local courts, it was accountable to higher courts and collegia, which emasculated the idea of ​​independence and autonomy and, most importantly, the idea of ​​the distinctness of law.

Legislation in both Russia and Kazakhstan is closer to the European continental, and 80 percent of the most successful financial centers in the world operate on the case law of English: these are New York, Toronto, London, Hong Kong, and Singapore.And in Astana, a political decision was made to create an absolutely autonomous jurisdiction. Now we have a separate court and a separate international arbitration center, where people with experience in jurisdictions where English law operates. It is clear that we cannot have such people today, and for the first 5–10 years there will be people with just such experience. We watched the transit from only expats to the use of local personnel in Dubai. And we, I think, have richer staffing opportunities, because in the past 25 years we have invested a lot in our youth, who studied at the best universities…

– Yes, in the top 100 Western universities, I worked in practice in Western companies – for this we have a Bolashak scholarship program (training specialists for priority sectors of the economy. – Vedomosti). We have also created a western-type university – Nazarbayev University in Astana, which has trained about 3,000 world-class specialists during its existence. About 10,000 people studied under the Bolashak program, many have worked in the Big Four auditing companies and other international companies, thousands of people studied at their own expense, i.e.That is, we have several tens of thousands of people. They will create a critical mass of financial industry specialists who will be able to professionally work in the jurisdiction that we are creating – in the long term, this will be a court, an arbitration center, a stock exchange, and the financial regulator of the MFC. But the most important thing is in the companies that will work for it.

Mental Revolution

– Have you seen contradictions arise between such an enclave and the environment in other countries?

– This is a great mental revolution – both in the political and legal spheres.The very creation of our financial center is not a separate decision, but part of large structural reforms to diversify the economy. Because after the 2008–2010 crisis, after the fall in oil prices in 2014–2015, when we really realized that the oil supercycle is over, there is more international uncertainty, especially in light of the trade wars between the world’s major economies. And you need to create a system that is as prepared as possible for this. What have we started to do? In Russia, for example, a budgetary rule was introduced, sovereign funds are functioning.In our country, almost all revenues from oil and gas are withdrawn into a special fund and used according to a special formula for development purposes. This is one reform. Following Russia, we moved to inflation targeting and flexible exchange rates. These two systems allow you to absorb external shocks. They are necessary, but they are automatic, they are not enough, because today investors all over the world are very attentively watching where to go. Therefore, the main thing is the rules of the game, regulation, the system of courts.

And this is such a two-speed reform, where, on the one hand, we are right now creating a center for the provision of such services, and on the other hand, this is a benchmark for the local system, which should improve in the next 5-7 years.This is a revolution. Because how can it be? We have been in such and such a system for 100 years, or we have been creating such and such a system for 20 years, but here we need to decide on a political reform and say: “Let’s create from scratch.” By the way, according to the theory of change management, it is often more effective to create from scratch than to redo the old and what did not work. Of course, questions will arise. For the courts, the main issue is the execution of decisions. In the AIFC, the court is in two instances – the first and the appeal, the decision of which is final. And we have an agreement with the Supreme Court, the Ministry of Justice, the Association of Executors of Court Decisions that they will also implement this decision in the rest of Kazakhstan.The AIFC Court is chaired by Lord Wolfe. He is a legendary figure both in Great Britain itself, where he made judicial reform, and in Hong Kong, in Qatar. (Harry Kenneth Wolfe, 2000-2005 Lord Chief Justice of England and Wales; his commission’s report influenced the 2010 British Anti-Bribery and Corruption Act; served as a non-permanent member of the Hong Kong Supreme Court of Appeals for nine years; 2007 . became the first President of the Civil and Commercial Court of the Qatar Financial Center in Doha.- “Vedomosti”.) The AIFC started working on January 1, based on the experience of Dubai and Qatar, we understand that the first 2-3, maybe 4 years will be spent to develop an understanding.Today we ask all state bodies in their contracts on public-private partnerships, subsoil use rights, the use of alternative energy sources to insert the possibility of remarks to our arbitration center and to our court, which resolves commercial and civil disputes in the investment sphere, helps to solve the problems of investors, small and medium-sized businesses.

Second question – we have our own exchange, which we are creating as an international regional platform.Of course, there is some competition here with exchanges in Alma-Ata, the countries of Central Asia and the Eurasian Economic Union (EAEU). But I think that it is rather competition plus cooperation. If you give a historical example, do you remember the Silk Road? What was its advantage? The authorities of those times ensured transit, and the more cities and trade hubs were on the way, the higher the safety, the more access to appropriate services, because the greater the distance, the higher the uncertainty. There are also several centers in our EAEU, perhaps Moscow played this role to a greater extent.But Russia itself, as recent studies show, needs 10-12 million-plus cities that would operate at the level of global hubs or global smart cities. Accordingly, the post-Soviet space also needs such centers, I think that Astana is the first swallow in the construction of such hubs.

– Are the judges moving to Astana or are they called to the trial? How does it work in practice?

– If you look at the statistics of the High Court of London, then the country number one in terms of its use is Great Britain itself, then Russia and, to a lesser extent, Kazakhstan.We said to ourselves: since there is such a market, let’s offer it to the post-Soviet space. Firstly, flying is much closer to us. We have a friendly, Russian-speaking environment. We will offer an ecosystem in which the reputation of the judges is not in doubt. But judges do not need to live with us: as cases arise, they will come. While there are no cases, they periodically train internal staff, help in interaction with the legal system of Kazakhstan. We have 10 British judges in court, led by the legendary Lord Wolfe.The chairman of the arbitration center is Barbara Doman, there are about 30 arbitrators in it. They also arrive as needed. For cases before arbitration, business representatives usually select judges from their jurisdictions. We also have Russian arbitrators.

Non-pessimists are making reforms

– Deglobalization is currently underway in the world, but, on the other hand, about two years ago, at the Vedomosti financial forum, several experts predicted regionalization, i.e.That is, the transition to the active development of regional blocs and economic cooperation within them. It turns out that you are just participating in such a process?

– We are probably participating in two processes. When 25 years ago we began to build our institutions – state institutions, institutions of cooperation with the outside world – we took globalization for granted. Remember, we all wanted to join the WTO, and then the OECD? For Kazakhstan, as a country with an 18 million population and a landlocked sea, the issue of integration into global markets is very important.In our trade, 50% falls on the countries of the European Union, 20% – on Russia, 20% – on China. It would be nice to be perceived positively in all these markets. Kazakhstan is an active participant, if not the initiator of Eurasian integration. Even 25 years ago, our president gave a lecture at Moscow State University and spoke about integration in the post-Soviet space. There is also a new regional format – the revival of the Silk Road, for Kazakhstan this is another opportunity to enter the market of the world’s second economy – China.

But global cooperation of economies is inevitable. There is also a universal context in this: now we are all uniting on the basis of access to new technologies, to new trends, to a new industrial revolution. And here it is very difficult to say: “Here we are in our block, we are closing, while you sort it out there,” it is very difficult. Another thing is that this does not cancel the regional agenda, which we, perhaps, did not work out in the previous 20 years, but in the last 5-7 years we have actively returned to it.The creation of a supranational platform for trade policy in the EAEU should be complemented by interaction in the field of science, the latest technologies, digitalization and training of human capital. Here Kazakhstan and Russia have a huge field for cooperation, especially in the field of education.

– Which companies do you primarily want to attract to work in the AIFC?

– We have now participated in a discussion at Moscow University. Two interesting theses were discussed there, which will give me the opportunity to move on to the answer to your question.One thesis is why many countries are so fiercely engaged in digitalization. Because this is a direction where we are not yet so hopelessly behind. Let’s say in America there is a traditional idea: Wall Street and Silicon Valley, here is money, there is innovation. But today, in America itself, innovation is migrating to New York, and money to Silicon Valley. And we in the financial center “Astana” are trying to combine all this. That is, we are both “fin” and “tech” – two sides of the same coin, which shows where development will go.WeChat in China or Google and Amazon in the US already provide both wallets and the possibility of payments and any other services. And it is not clear how to regulate them. But this is already a reality, a new element, including behavioral economics, which we have to realize.

Second thesis. Any reforms and innovations are perceived primarily with pessimism. This is a very beneficial worldview, because if something did not work out, you can say: “Well, we said so,” and if it worked out, then – “We are pleasantly surprised.”But it is not pessimists who make reforms. They say: “you do not have deep financial markets” or “all our assets, post-Soviet states, are managed in Singapore, Dubai and London,” or “why are you creating a financial center if there are already more than 100 of them.” But what would have happened if they thought so 20 years ago in Dubai or Africa on fintech, where Kenya or Uganda jumped over the stage of traditional banking and now there is mobile banking everywhere? Or if China had not been revolutionizing financial inclusion, but said: “Let’s walk a century of European institutions, and then start thinking about what to do with digitalization”? Today we see that there are a lot of opportunities in the world in fintech, in other areas, where a country can react in time, build smart, flexible regulation and get certain advantages.And we want to be not just a financial center and provide services for existing businesses, but also to be a Lego-type platform where any solutions can be joined. Something does not work out in some sector – let’s try it with us. Or people came with a new idea – why not implement it on our platform? Such growth points or areas of advanced development in technology sectors must exist. In this sense, we are a supranational, including the Eurasian regional, platform where all this can be tested, where a quantum leap must be made.

Let’s do nothing at all, because we will be the 199th country in the world to apply this new technology. Will it help us? Probably not. And being a country, if not number one, but at least in the second ten, is probably a more correct approach. And we have our own independent financial regulator, which adheres to this approach, focuses on reputation, and provides a quality mark in the field of corporate governance. If you receive such a quality mark, it means that investors will come to you, and if you need to improve something, then we will tell you about it.For companies from the EAEU, Central Asia and even China, we will become an alternative platform. And even if a large company, already listed in London or on the Moscow Stock Exchange, wants to additionally place with us, then why not. I am not saying this hypothetically: a number of Russian companies – I would not like to voice anything concretely before it happens – have such an interest, they are now studying our legislation. And it is very similar to the requirements in London: how they were placed there, so it will be approximately so here.Or are they medium-sized companies that did not fall under the radars of large exchanges, which need to attract additional equity capital – why not meet their demand with the supply and opportunities of investors from Asian markets, and not only Chinese ones. We work with Japanese investors, Malaysia, Singapore, Hong Kong.

We have chosen 5-6 directions for ourselves: these are capital markets; management of assets and wealth of individuals; areas such as fintech, various new technologies, including those using artificial intelligence in the financial industry, blockchain, big data; it is “green” finance; so-called socially responsible finance and Islamic finance.

Own financial niche

– Kazakhstan, probably, cannot be called a country with large capitals. You said that you work with investors from different countries to attract their funds. What is their interest?

– Each financial center finds its own niche. In the same Singapore or Dubai, the capitals were not initially present either. But Dubai has become a center of wealth for individuals throughout the Middle East. Everyone saw the environment, a place convenient for everyone, and started doing it.We believe that Astana and Kazakhstan are, due to their physical location, a convenient place, especially now, when the economies of Europe and China are building a land bridge. This is the conjunction of the EAEU and the Chinese Belt and Road Initiative. The countries of Central Asia are the last undiscovered point, an under-globalized place in world trade, where new opportunities appear due to demographic processes in the region, the opening of the economy of Uzbekistan, and reforms in Kazakhstan. And we are providing these new opportunities, since we have the advantage of doing it from scratch on the basis of new technologies and the latest trends.And we believe that many investors who are interested in emerging markets will be interested in coming here.

– Astana Stock Exchange Partners – Shanghai Stock Exchange and NASDAQ. Does it help raise money?

– We have an exchange in Alma-Ata, founded 25 years ago, but it can hardly be said that the stock market in Kazakhstan took place. It was very successful in Russia, including in connection with the reforms that were part of the creation of the financial center. It is important for us: a) to attract money from the population and b) so that international investors have safe access to our securities.Therefore, the Moscow Exchange joined Euroclear, Clearstream and other post-trade platforms. And we, having decided to create a financial center from scratch, thought: once a trading floor, then on the basis of a technology that is not disputed anywhere in the world – NASDAQ. Institutional investors who will buy securities in our market say: “I know how NASDAQ works, for example Euroclear, there [in the AIFC] legislation is based on the principles of English common law, this system is clear to me.” That is, we are gradually building an international level entrance to our market.It’s the same with China. Cooperation with the Shanghai Stock Exchange helps us gain access to Chinese investors. The Shanghai Stock Exchange in the Astana Stock Exchange owns 25% plus 1 share, about 5% – the Silk Road Fund, about 7% – NASDAQ, and Goldman Sachs recently joined (about 4%).

The idea was this: we show that we have a quality mark and want to internationalize our site through cooperation with global investors. At the same time, as I have already said, we have a large program of structural reforms, and the privatization process is underway.In November, the Ministry of Finance placed Eurobonds for the first time in Astana and London, denominated in euros. A successful IPO of Kazatomprom took place, also in London and Astana. In the future, all state-owned companies will enter the market through this mechanism. Plus government securities of the Ministry of Finance, shares and bonds of private companies. All this restarts the stock market in Kazakhstan. That is, the idea is to become a hub for Kazakhstan, and for other Central Asian countries, and for EAEU companies.We actively held presentations in Russia, we were in Moscow, Kazan and Krasnodar. We met with medium-sized companies that could be of interest to Chinese investors, who fit into the model of coupling the EAEU and the Belt and Road Initiative. We took representatives of these companies to Shanghai. We have also been to Belarus, now we are planning trips to the Transcaucasus.

– Is Islamic finance interesting?

– There is a traditional stereotype that this is the prerogative of the Gulf countries and countries where the Islamic economy prevails.This stereotype has been overcome in the last 10 years, Islamic bonds called sukuk have been adopted in London, Japan, Hong Kong, Luxembourg. The leader in Islamic bonds is Malaysia, in this sense Kuala Lumpur is a real global center of Islamic finance. There are also institutions of Islamic banking and insurance. In the post-Soviet countries, there is some interest in such institutions, including from the point of view of the revival of cultural traditions. In Russia, there is such an interest in Tatarstan, in the Caucasian republics; there is a high demand for such services, including retail, in Central Asia; Islamic finance is relevant in the production of halal products.I know that there are working groups in the Central Bank of the Russian Federation, and in Sberbank they studied this issue, even fintech solutions have appeared.

Islamic industry – 2% of the entire global financial industry, but this is $ 2 trillion. Kazakhstan has been actively introducing Islamic finance since 2009, we have made a reform in banking legislation and, in a sense, have become leaders in the post-Soviet space. But each of our priorities is not instead of something, it is in addition to what exists. We are often told: “And if you fail here, what will you do then?” We say that we have deliberately chosen 5-7 directions with the idea that we will not decide which of them will win in the world.But if we do not do this, then we will lag behind, so we need to develop a certain practice, understand internal problems and try to overcome them.

– Taking into account the fact that you have created such a legal regime, you are building such a transparent center, we can say that you want to play the role of an honest mediator in the post-Soviet space. So you think that such a role can bring good financial benefits?

– Yes, but not only. Kazakhstan immediately began to support the integration processes.The Commonwealth of Independent States was created, then the first version of the Eurasian Economic Community, then the Customs Union, which is now called the second version of the Eurasian Economic Community, the EAEU. When we were making the latest version of our integration, we immediately said: “Let’s make a customs union based on the WTO principles” or “Let’s make the EAEU based on the OECD principles” – and then Russia was ahead of many countries in joining investment initiatives and OECD principles. What is the OECD? This is a club of developed countries, where there are rules of the game.Do you want us to consider you equal partners in dialogue? So that we consider that in your country they are fighting against money laundering in the same way as in our countries; that in your country financial regulation is as relevant as in ours; that your country’s investment climate is as positive as ours? Let’s join. This is a quality mark. And we said: let’s unite on the principles of countries that already know that they are doing some things well, and everyone else is catching up to them.In this sense, our initiative is one of such supranational platforms that allows testing such things and moving forward.

– How many residents are already in the AIFC and from which countries?

– We looked at the experience of other centers: Dubai has attracted more than 2000 companies since 2004, Abu Dhabi has attracted about 300 in five years. We have set ambitious goals for ourselves: 100 companies by the end of this year, 250 by the end of 2019 year, 500 – until the end of 2020. The first task was recently realized: we registered the hundredth company.Today, about 60% are companies of Kazakhstani origin, but which become international in our jurisdiction; and about 40% of companies from other countries – Great Britain, Hong Kong, Thailand, Malaysia, Singapore, Finland, Russia, Central Asian countries. In a three-year perspective, we want to get 60% of foreign and 40% of local companies. And we are working closely with the central bank, the Ministry of Finance, so that there is no tax evasion or any gray areas. We work with the OECD and international tax initiatives to avoid becoming a jurisdiction that is not clear and transparent.When they say offshore, it has a negative connotation. We are rather a “mid-shore”, because an offshore is something separate, but non-transparent, and we are something separate, but transparent.

– Can sanctioned Russian companies work for you and raise capital?

– I liked how the head of VTB Kostin said at the forum: “Sanctions come and go, but we have to live somehow.” And then sanctions and any kind of compliance in general is a big legal issue. In Russia, this area is now developing, because somehow you need to live, and many companies now know how to work with it.We do not want to say that we are throwing some kind of challenge. We are studying this situation. As a jurisdiction that claims universal access to global global markets, we are part of the world’s legislation. And any attempts to be some kind of offshore, where it is ignored, will be suppressed for reputation reasons.

Paraga Hanna is only 40 years old, which is the very beginning of a career for a scientist, but he has already made a name for himself as a consistent and tireless fighter for the ideals of democracy.What kind of democracy? People’s? Sovereign? Straight? Digital? Local? Probably a little of everything. But such a democracy should develop within the mega-cities of the future, such as Singapore. This city is governed by a hereditary family dynasty, but, on the other hand, the citizens of Singapore are constantly involved in the management and in solving the most important issues of the current agenda.

At the same time, Parag Hanna is a staunch supporter and promoter of Swiss-style direct democracy.Oh, what do you mean, both the Swiss themselves and representatives of Switzerland abroad, for example, diplomats, often say: Swiss democracy is so special that you don’t even need to try to transfer it abroad! Is this so? If you believe Paragu Hannah, then in many ways all this is from the evil one. Feedback between the authorities and the people within the framework of the concept of an “information state”? Why not? If such channels of power will help bring the “people and the party” closer together, if citizens will be involved in solving really important issues, then what is difficult and impossible in this?

Of course, the forms and technical ways of solving this problem can be very different, however, be that as it may, it is this kind of feedback from the authorities and citizens that is, both in Singapore and in Switzerland, the guarantor of the prosperity and stability of these countries.Well, today I agreed to meet and talk to him face-to-face, in order to find out first-hand what he thinks about the prospects of democracy in the modern world, especially since, as it turns out, Parag Hanna speaks surprisingly good German, in as you can see by watching our small video clip below. We agreed to meet in a boring place – the lobby of a hotel located in the heart of Singapore.

However, Singapore is, as they say, a city of contrasts and constant surprises. We do meet in the lobby, the only difference is that it is located, contrary to expectations, on the 12th floor of the recently opened Oasia-Hotel, so that the panoramic windows of our meeting point allow you to look at the city center covered with a light haze, turned into a real a paradise oasis with waterfalls, lawns, parks. “Cool place, this is my first time here,” my interlocutor, who had just recently returned from a business trip to Germany, smiles rather.

Welcome to Parajistan

“Big cities are the engines of globalization,” says Parag Khanna instead of joining in. “Mayors of cities like Singapore are today setting the tone around the world in defining modern standards for environmental protection, transport and education infrastructure.” It is no coincidence, therefore, that Parag Khanna chose Singapore as his place of permanent residence. It was here that he “registered” with his wife and two children.

He himself is not a local, was born in 1977 in the north of India in the city of Kanpur, grew up in the United Arab Emirates, in the USA and Germany (from there his German), defended his dissertation at the famous London School of Economics, worked for Davos Forum (WEF), has partnered with the Brookings Institution, one of the most important think tanks in the United States with a focus on social sciences, municipal government, foreign policy and the global economy. In 2008, Esquire magazine listed him as one of the 75 Most Influential People of the 21st Century, and even before that, future US President B.Obama recruited him to serve on his advisory team.

Since then, Parag Khanna has been regarded as a leading expert in the study of globalization issues. His profile on the social network Facebook looks just as confident, to which more than 650 thousand people from all over the world have subscribed. Everyone who comes here for the first time is welcomed as a guest of his own imaginary country “Parajistan”. After watching the videos published here, one gets the impression that their main character is capable of being everywhere at the same time, and that there are no questions in the world that he would not have answers to.Of course, on the one hand, this is self-promotion, on the other, in a conversation with him you immediately feel a sincere interest in what is happening “out there in the world”, in the people inhabiting this world.

“Over the past 15 years, I have visited over a hundred countries around the world to understand what problems people have and how they are trying to solve them,” he says. He processes his experience and presents it in a concentrated form for the judgment of the world public in the format, for example, of such monographs as “ Connectography” (Weidenfeld & Nicolson, 2016).On its pages, he, in particular, shows that in order to understand the true essence of globalization, it is high time to abandon the stereotypes of thinking developed in the so-called “developed” countries, and that the mechanisms that unite the world into a single mental, economic and political network are comprehensible only when the help of new, non-standard thinking. The most important thing for him in this sense is the consistent strengthening of municipal, local democracy.

Direct Technocracy

On the face of it, this kind of thesis is in stark contrast to what he expounded in his other book, Technocracy in America / Jenseits von Demokratie. In his opinion, the German title for his book, “Beyond Democracy,” was chosen rather poorly. “I am not at all in favor of abolishing democracy, on the contrary, I am in every possible way in favor of strengthening it,” says Parag Hanna, pointing, along with Singapore, primarily to Switzerland, which he calls his example.

“The systems of political representation in these countries are very different from the traditional representative democracies of the American or British model,” he says.But what about the fact that Singapore, which is so much touted by it, regularly occupies rather low positions in all major global ratings of the development of democracy? “All these ratings use, in my opinion, outdated methods, and their very concept is too much based on the experience of traditional electoral democracies,” he says confidently.

Of course, in Singapore, in reality, there is a one-party government, but the prosperity and stability of this city-state would not have been possible without constant feedback from the authorities and society, implemented based on the most modern digital technologies.And in fact, being until recently an inconspicuous village in which fishermen and owners of countless pig herds lived, poisoning everything around, Singapore today is a leader not only in economy and finance, but also a point on the globe with one of the highest living standards in the world. …

“Praise to boredom”

How sustainable and viable is Singapore’s model in the area of, for example, fighting corruption? Parag Khanna has no definitive answer to this question. One thing is clear – the political system created by the “father” of Singapore Lee Kuan Yew (1923-2015) is on the verge of change.Until the 2020 elections, the country will be ruled by Li Xianlong, Prime Minister of Singapore since August 12, 2004, the eldest son of Lee Kuan Yew The practice of involving citizens in solving political problems will continue, although it still has nothing in common with Swiss direct democracy , taking into account the fact that the opinion of citizens is not obligatory here, but is only of an advisory nature.

And that is precisely why Parag Hanna is now actively demanding the introduction in Singapore, at least for the beginning of certain elements of Swiss direct democracy.“Representative democracy without the possibility of direct civilian intervention in politics between elections is rapidly turning into representative presidential autocracy. On the other hand, the model of Switzerland, with its practice of political “concordance” and in the absence of traditions of political opposition, looks much more technocratic than it might seem at first glance. And in this regard, Switzerland is not that much different from Singapore. ”

Speaking for local democracy with elements of direct rule of the people, Parag Khanna several times emphasizes that he is in favor of “boring” politics.“Dramas and tragedies, such as the election of Donald Trump, bring citizens nothing but unnecessary anxiety and nerves. Much more preferable for me is a situation when, be it in Singapore or Switzerland, all relevant political forces are harnessed to a single vehicle of common political responsibility and when all processes take place once and on a given track in a constant dialogue between the authorities and society.
